1. Scope of Services

1.1 Services Provided:
We offer a range of professional services, including but not limited to:

  • Business consulting
  • Accounting and bookkeeping
  • Tax preparation and advisory
  • Compliance and regulatory reporting
  • Tax planning related advisory
  • Other services as agreed upon in writing

1.2 Engagement Agreement:
The specific services to be provided will be outlined in a written engagement agreement between you and us.

 

2. Client Responsibilities

2.1 Accurate Information:
You agree to provide accurate, complete, and timely information and documentation as needed to perform the agreed-upon services.

2.2 Cooperation:
You agree to cooperate fully with us and respond promptly to our requests for information, documents, and approvals.

2.3 Legal Compliance:
You are responsible for ensuring that your business activities comply with all South African, International and Industry related applicable laws and regulations. 

 

3. Fees and Payment

3.1 Fee Structure:
Fees for our services will be outlined in the engagement agreement, quotations and invoices. Additional work outside the agreed scope may incur additional charges.

3.2 Payment Terms:
Invoices are payable within [Insert Payment Period, e.g., 30 days] from the date of issue unless otherwise specified in the engagement agreement or invoices.

3.3 Late Payments:
Late payments may be subject to interest or penalties as permitted by law.

 

4. Confidentiality

4.1 Client Information:
We are committed to maintaining the confidentiality of all information provided by you. Your personal and business information will only be used for the purposes of providing our services.

4.2 Disclosure:
We will not disclose your information to third parties unless:

  • Required by law or court order
  • Necessary to provide services (e.g., sharing data with authorized third-party service providers)

 

5. Intellectual Property

5.1 Ownership:
All reports, recommendations, and other deliverables provided to you are for your use only. Intellectual property rights remain with the Firm unless otherwise agreed.

5.2 Restrictions:
You may not copy, distribute, or modify our deliverables without our prior written consent.

 

6. Limitation of Liability

6.1 No Guarantee:
While we strive to provide high-quality services, we do not guarantee specific outcomes or results.

6.2 Liability Cap:
To the extent permitted by law, our liability for any claim arising out of our services is limited to the fees paid for the specific service giving rise to the claim.

6.3 Indemnity:
You agree to indemnify and hold us harmless against any claims, liabilities, or damages arising from your use of our services.

 

7. Termination

7.1 Termination by Client:
You may terminate the engagement by providing written notice. Fees for services rendered up to the termination date will remain payable.

7.2 Termination by Firm:
We reserve the right to terminate the engagement if you fail to comply with these Terms, including non-payment or failure to provide necessary information.


8. Dispute Resolution

8.1 Negotiation:
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation.

8.2 Mediation/Arbitration:
If negotiation fails, disputes will be resolved through mediation or arbitration following South African laws and regulations.


9. Governing Law

These Terms are governed by and construed following the laws and regulations of South Africa. Any legal action or proceeding relating to these Terms will be brought exclusively in the courts of South Africa.

We have adopted the International Code of Ethics for Professional Accountants (including International Independence Standards) as released by the International Ethics Standards Board for Accountants (IESBA).


10. Amendments

We reserve the right to update these Terms from time to time. Any updates will be communicated to you and will take effect immediately unless otherwise stated.
